1. Acceptance of the Terms

These terms of service are entered into by and between you and Bravado ("Bravado," "we," "us," or "our"). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, "Terms"), govern your access to and use of https://bravadotrade.com (the "Site"), all related tools, applications (online, mobile, or otherwise), data, software, and other services provided by us (collectively with the Site and the Platform, the "Services").

Please read these Terms carefully before you start using the Services.

By using the Services, you accept and agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not agree to these Terms or the Privacy Policy, you must not access or use the Services.

The Services are offered and available to users who are 18 years of age or older and located in jurisdictions where the use and access of the Services do not violate any applicable laws. By using the Services, you represent and warrant that you are of legal age to form a binding contract and meet all eligibility requirements. If you do not meet these requirements, you must not access or use the Services.

2. The Platform

Bravado is a prediction markets trading terminal that aggregates data and execution across third-party prediction market platforms (the "External Platforms"), including but not limited to Polymarket and Kalshi. The Platform provides users with a unified interface to discover, analyze, and execute trades across multiple prediction market venues.

Users may:

(a) Access aggregated market data, analytics, and insights across supported External Platforms;

(b) Route trades and interactions to External Platforms through integrated Application Programming Interfaces ("APIs");

(c) Access features including but not limited to cross-platform arbitrage detection, copy trading, portfolio tracking, whale alerts, news feeds, and advanced charting tools;

(d) Receive personalized feeds, notifications, and analytics curated by Bravado.

3. Bravado's Role as Aggregator

Bravado does not create, host, or operate prediction markets directly. Bravado facilitates users' participation in prediction markets hosted by External Platforms through the Services. All trades, positions, and market interactions initiated through the Platform are executed directly with the relevant External Platform. Bravado does not execute, clear, or settle any trades, nor does it issue, distribute, or pay out any tokens, rewards, or other considerations associated with market outcomes.

By using the Services, you acknowledge and agree that you are also subject to the terms, rules, and conditions of each External Platform you interact with through Bravado. Bravado has no control over, and assumes no responsibility for, the accuracy, legality, availability, or performance of any External Platform, nor for any actions or omissions of the operators of those platforms.

Bravado does not guarantee the performance, solvency, or compliance of any External Platform. You should carefully review the applicable terms and disclosures of each External Platform before participating in any prediction market.

4. Account Registration and Security

To access certain features of the Services, you may be required to create an account or connect a digital asset wallet. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to:

(a) Provide accurate, current, and complete information during registration;

(b) Maintain and promptly update your account information;

(d) Notify us immediately of any unauthorized access to or use of your account;

(e) Accept responsibility for all activities that occur under your account.

We reserve the right to disable any account, username, or identifier at any time in our sole discretion, including if you have violated any provision of these Terms.

The Platform may offer copy trading functionality that allows you to automatically replicate the trades of other users ("Lead Traders"). By using copy trading features, you acknowledge and agree that:

(a) Past performance of any Lead Trader is not indicative of future results;

(b) You are solely responsible for your decision to copy any trader and for all resulting trades;

(d) Copy trading involves significant risk, including the risk of total loss of your invested capital;

(e) There may be delays between a Lead Trader's execution and your copied trade, which may result in different execution prices;

(f) Bravado is not liable for any losses incurred through the use of copy trading features.

6. Notifications and Alerts

The Platform may provide notifications, alerts, and signals including but not limited to whale alerts, arbitrage opportunities, price movements, and news updates. These notifications are provided for informational purposes only and do not constitute investment advice, trading recommendations, or solicitations to buy or sell any position. Bravado does not guarantee the accuracy, timeliness, or completeness of any notification or alert.

7. Fees

Bravado may charge fees for the use of certain Services. Any applicable fees will be disclosed to you prior to your use of the relevant Service. We reserve the right to change our fee structure at any time with reasonable notice. Fees charged by External Platforms are separate from and in addition to any fees charged by Bravado, and are governed by the respective External Platform's terms.

8. Intellectual Property

The Platform, the Services, and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by Bravado, its licensors, or other providers and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Bravado's name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Bravado. You must not use such marks without the prior written permission of Bravado.

9. Prohibited Uses

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

(a) Use the Services in any way that violates any applicable law or regulation;

(b) Use the Services to exploit, harm, or attempt to harm minors in any way;

(d) Impersonate or attempt to impersonate Bravado, a Bravado employee, another user, or any other person or entity;

(e) Use any robot, spider, scraper, or other automated means to access the Services without our express written permission;

(f) Introduce viruses, trojan horses, worms, or other malicious or harmful material;

(g) Attempt to gain unauthorized access to, interfere with, or disrupt any part of the Services;

(h) Use the Services to manipulate or attempt to manipulate any prediction market;

(i) Use the Services in any manner that could disable, overburden, or impair the Services;

(j) Engage in any activity that restricts or inhibits anyone's use of the Services.

10. Third-Party Content and Services

The Services may display, include, or make available content, data, or information from third parties, including External Platforms, news sources, data providers, and other third-party services. Bravado does not control, endorse, or assume responsibility for any third-party content or services. Your interactions with third-party services are governed by those third parties' own terms and policies.

Market data, probabilities, news summaries, analytics, and other information provided through the Services may be derived from third-party sources. Bravado does not guarantee the accuracy, completeness, or timeliness of such information.

11. Risk Warning

Please read this Risk Warning carefully before using the Services.

No Guarantee of Accuracy. Bravado aggregates data from multiple External Platforms. While we strive for accuracy, we make no guarantees regarding the accuracy, completeness, or timeliness of any data, analytics, or information provided through the Services.

Prediction Market Risks. Prediction markets involve substantial risk of loss. The value of prediction market positions can fluctuate significantly, and you may lose some or all of your invested capital. Prediction market outcomes are binary, meaning positions resolve to either full value or zero.

No Investment Advice. Bravado does not provide investment, financial, legal, or tax advice. All information provided through the Services is for informational purposes only. You are solely responsible for evaluating the merits and risks of any trade or investment decision.

Regulatory Risk. Prediction markets and related products may be subject to varying legal and regulatory treatment depending on your jurisdiction. Access to certain markets or External Platforms through the Services may be restricted or prohibited under applicable laws. It is your sole responsibility to ensure your use of the Services complies with all applicable laws and regulations.

Technology Risks. The Services rely on internet connectivity, third-party APIs, blockchain networks, and other technologies that may experience interruptions, delays, or failures. Bravado is not responsible for any losses resulting from technology failures, network outages, or disruptions to External Platform services.

External Platform Risks. Your use of the Services exposes you to the operational, financial, and regulatory risks of the External Platforms, including platform outages, loss or mispricing of positions, changes in regulatory status, counterparty risks, and potential loss of access to funds.

Execution Risks. Trade execution through the Platform is subject to the availability, liquidity, and performance of the relevant External Platforms. Bravado does not guarantee execution of any trade at any particular price or time.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY REPRESENTATION OR WARRANTY, WHETHER EXPRESS, IMPLIED, OR STATUTORY, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. WE SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY INFORMATION PROVIDED THROUGH THE SERVICES IS ACCURATE OR COMPLETE.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL BRAVADO, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES.

IN NO EVENT SHALL BRAVADO'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO BRAVADO IN FEES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

14. Indemnification

You agree to defend, indemnify, and hold harmless Bravado, its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

(a) Your violation of these Terms;

(b) Your use of the Services;

(d) Any losses you have suffered in connection with trades executed on any External Platform through the Services;

(e) Your violation of any applicable law or regulation.

15. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or in connection with these Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in the English language. Judgment on the arbitration award may be entered in any court having jurisdiction.

YOU AND BRAVADO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

16. Modifications to the Terms

We may revise and update these Terms from time to time at our sole discretion. All changes are effective immediately when posted. Your continued use of the Services following the posting of revised Terms constitutes your acceptance of the changes.

We will use commercially reasonable efforts to notify you of material changes through the Site, email, or other communication channels. You are expected to review these Terms periodically.

17. Termination

We may terminate or suspend your access to the Services at any time, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

19. Waiver

No waiver by Bravado of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.

20. Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Bravado regarding the Services.
